Subject to your compliance with these Terms, WheelJudge grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Site for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any WheelJudge Content, except as expressly permitted by these Terms or with our prior written consent.

6. User Content and License Grant

You retain all ownership rights in your User Content, but by submitting User Content to wheelJudge.com, you grant WheelJudge a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with our services and business operations.

7. Disclaimers of Warranties

YOUR USE OF WHEELJUDGE.COM IS AT YOUR SOLE RISK. OUR SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WHEELJUDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WHEELJUDGE DOES NOT WARRANT THAT OUR SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WheelJudge makes no representations or warranties about the accuracy, completeness, or reliability of any content available on or through our Site, including User Content, product reviews, ratings, or comparisons. Any reliance you place on such information is strictly at your own risk.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHEELJUDGE, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE WHEELJUDGE.COM, EVEN IF WHEELJUDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WHEELJUDGE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SITE EXCEED THE AMOUNT YOU PAID TO WHEELJUDGE, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless WheelJudge, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of wheelJudge.com, including but not limited to your User Content
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations

WheelJudge reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of our Site.

10. Termination

WheelJudge reserves the right to suspend or terminate your access to our Site, with or without notice, for any reason or no reason, including without limitation if we believe you have violated these Terms. Upon termination, your right to use wheelJudge.com will immediately cease, and we may delete your account and all associated data.

You may terminate your account at any time by contacting us or using the account closure features available on our Site. Termination of your account does not relieve you of any obligations incurred prior to termination, and certain provisions of these Terms will survive termination, including sections related to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

WheelJudge shall not be liable to you or any third party for any termination or suspension of your access to our Site.

11. Governing Law and Dispute Resolution

These Terms of Service and any dispute or claim arising out of or related to these Terms or your use of wheelJudge.com shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or related to these Terms or your use of our Site shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

12. Changes to These Terms

WheelJudge reserves the right to modify or update these Terms of Service at any time, in our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. We may also provide additional notice of significant changes, such as by posting a notice on our homepage at wheelJudge.com or sending you an email notification.
